These Terms of Service ("Terms") apply to all Acreonix products including Acreonix AI (the property lead agent platform) and Acreonix RMS (the restaurant management system). By creating an account or using either service, you agree to be bound by these Terms. Please read them carefully before using any Acreonix product.

1. Parties and Agreement

These Terms constitute a legally binding agreement between Acreonix Ltd ("Acreonix", "we", "us", "our"), a company registered in the United Kingdom, and you, the individual or entity ("you", "your", "Client") accessing or using any Acreonix product.

By registering for an account, accessing the platform, or using any feature of either Acreonix AI or Acreonix RMS, you confirm that you have read, understood, and agree to these Terms. If you are agreeing on behalf of a business or organisation, you represent that you have authority to bind that entity.

If you do not agree with any part of these Terms, you must not use our services.

2. Description of Services

Acreonix AI

Acreonix AI is a software-as-a-service platform that provides real estate agencies with an AI-powered lead qualification and management system. Features include: automated WhatsApp lead conversations, AI lead scoring, property matching, viewing scheduling, campaign tools, analytics, and a multi-agent CRM dashboard.

Acreonix RMS

Acreonix RMS is a software-as-a-service platform designed for independent restaurant operators. Features include: AI-assisted staff rota scheduling, employee and wage management, table booking management, live floor plan tracking, inventory management, and an AI in-platform guide assistant.

Both platforms are provided on a subscription basis and are accessible via web browser. We reserve the right to modify, update, or add features to either service at any time, with reasonable notice provided for material changes.

3. Accounts and Access

Registration. You must register for an account to use either platform. You agree to provide accurate, current, and complete information during registration and to keep this information up to date.

Credentials. You are responsible for maintaining the confidentiality of your login credentials. You must not share your account with others or allow unauthorised access. You are responsible for all activity that occurs under your account.

Age and eligibility. You must be at least 18 years old and legally capable of entering into a binding contract to use our services. Our platforms are intended for business use only and are not directed at consumers.

Staff accounts. For Acreonix RMS, the restaurant operator ("admin") may create sub-accounts for staff members. The admin is responsible for all activity under those sub-accounts and for ensuring staff members comply with these Terms.

Account security. You must notify us immediately at hello@acreonix.co.uk if you become aware of any unauthorised use of your account or any other security breach.

4. Acceptable Use

You agree to use our services only for lawful purposes and in accordance with these Terms. You must not:

We reserve the right to suspend or terminate access immediately if we reasonably suspect a breach of this section.

5. Subscriptions and Payment

Plans. Access to paid features of either platform requires a paid subscription. Subscription plans, pricing, and included features are set out on the relevant product website and may be updated from time to time with reasonable notice.

Billing. All subscriptions are billed in advance on a monthly basis unless otherwise agreed in writing. Payments are processed by Stripe. By subscribing you authorise Stripe to charge your payment method on a recurring basis.

Taxes. All prices are exclusive of VAT unless stated otherwise. Where applicable, VAT will be added at the prevailing UK rate.

Free trials. Where a free trial is offered, you will not be charged during the trial period. At the end of the trial, your account will either require a paid subscription to continue or revert to a limited free tier, as applicable. We reserve the right to withdraw or modify trial terms at any time.

Cancellation. You may cancel your subscription at any time via your account settings or by contacting us. Cancellation takes effect at the end of the current billing period. We do not offer refunds for partial months unless required by law.

Non-payment. If payment fails and is not remedied within 7 days of notification, we may suspend or terminate your account and delete your data in accordance with Section 12.

Price changes. We may change subscription prices on 30 days' written notice. Continued use after the notice period constitutes acceptance of the new pricing.

6. Your Data and Our Data Processing

Your data. You retain all ownership of the data you input into our platforms, including lead data, staff records, booking information, and inventory data.

Licence to process. By using our platforms you grant Acreonix a limited, non-exclusive licence to process your data solely for the purpose of providing the services you have subscribed to.

Data processing. Our collection and processing of personal data is governed by our Privacy Policy, which forms part of these Terms. For business clients, we act as a Data Processor for the personal data of your leads, staff, and guests, and you act as the Data Controller. You are responsible for ensuring you have a lawful basis for processing the personal data you input into our platforms.

Data security. We implement appropriate technical and organisational measures to protect your data. See our Privacy Policy for details.

Data on termination. On termination of your subscription, we will retain your data for 30 days to allow export, after which it will be deleted, except where retention is required by law (e.g. financial records under HMRC requirements).

No data selling. We will never sell your data or your customers' data to third parties.

7. Intellectual Property

Our IP. All intellectual property rights in the Acreonix platforms — including but not limited to software, source code, designs, algorithms, AI models, logos, trademarks, and documentation — are and remain the exclusive property of Acreonix Ltd or our licensors. Nothing in these Terms transfers any IP rights to you.

Licence to you. Subject to your compliance with these Terms and payment of any applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the platform solely for your internal business purposes during your subscription term.

Your feedback. If you provide feedback, suggestions, or ideas about our platforms, you grant us a perpetual, irrevocable, royalty-free licence to use that feedback for any purpose without obligation or compensation to you.

Your content. You retain all rights in any content you upload to the platform. You represent and warrant that you have all necessary rights to that content and that it does not infringe any third-party rights.

8. AI-Specific Terms

Both platforms incorporate AI features powered by Claude (Anthropic). The following additional terms apply to AI-powered functionality:

Nature of AI output. AI-generated responses, recommendations, rota schedules, lead scores, and other outputs are provided for informational and operational assistance purposes only. They do not constitute professional advice (legal, financial, employment, medical, or otherwise). You are solely responsible for any decisions made based on AI outputs.

Accuracy. AI outputs may contain errors, inaccuracies, or omissions. We do not warrant that AI-generated content is accurate, complete, or fit for any particular purpose. You should always review AI outputs before acting on them — particularly rota schedules, wage calculations, and lead qualification decisions.

Data sent to AI. When you use AI features, relevant data (such as conversation messages, rota configurations, or floor plan images) is sent to Anthropic for processing. This is governed by our Privacy Policy and Anthropic's data processing terms. We do not use your data to train AI models.

Prohibited AI uses. You must not use our AI features to generate content that is discriminatory, defamatory, illegal, or designed to deceive. You must not attempt to manipulate the AI into producing outputs that violate these Terms or applicable law.

AI availability. AI features depend on third-party services (Anthropic). We do not guarantee continuous availability of AI features and are not liable for disruption to AI services caused by third-party outages.

9. Acreonix RMS Specific Terms

Employment and wage data

Acreonix RMS processes employee records and wage data on your behalf. You are solely responsible for:

Acreonix RMS is a management tool to assist with scheduling and wage tracking. It is not a payroll system and does not file payroll returns or reports with HMRC on your behalf. You remain solely responsible for your payroll obligations.

Booking and guest data

When you use the bookings module, you are the Data Controller for all guest data. You are responsible for:

Inventory data

Inventory records, supplier information, and order data you enter into Acreonix RMS are your data. We do not verify the accuracy of inventory data, and you are responsible for independently confirming stock levels and order quantities before placing orders with suppliers.

Important notice for RMS users: Acreonix RMS is a management assistance tool. Wage figures shown in the platform are estimates based on the data you enter. Always verify figures against your own records before processing payroll. Acreonix Ltd accepts no liability for errors in wage calculations resulting from incorrect data entry.

10. Service Availability and Changes

Uptime. We aim to provide reliable, high-availability services but do not guarantee uninterrupted access. The platforms may be temporarily unavailable due to scheduled maintenance (for which we will provide advance notice where possible), unplanned outages, third-party service failures, or circumstances beyond our control.

Maintenance. We may perform scheduled maintenance outside of peak hours where possible. We will use reasonable efforts to notify you in advance of planned downtime.

Changes to features. We may add, modify, or remove features from either platform at any time. We will provide reasonable notice of material changes that significantly affect existing functionality. Your continued use after such changes constitutes acceptance.

Third-party services. Both platforms rely on third-party services including Anthropic, Supabase, Vercel, Railway, Twilio, Resend, and Stripe. We are not liable for disruption caused by the unavailability or failure of any third-party service.

11. Liability and Warranties

No warranties. The platforms are provided "as is" and "as available". To the fullest extent permitted by law, Acreonix disclaims all warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement.

Limitation of liability. To the maximum extent permitted by applicable law, Acreonix's total liability to you for any claims arising under or in connection with these Terms — whether in contract, tort (including negligence), or otherwise — shall not exceed the total subscription fees paid by you to Acreonix in the 3 months immediately preceding the event giving rise to the claim.

Exclusion of consequential loss. In no event shall Acreonix be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, loss of revenue, loss of data, loss of business, or reputational damage, even if we have been advised of the possibility of such damages.

Your responsibilities. You are responsible for maintaining appropriate backups of your data. You are responsible for the accuracy of data entered into the platform and for decisions made based on platform outputs.

12. Termination

By you. You may cancel your subscription and close your account at any time via your account settings or by contacting us. Cancellation takes effect at the end of your current billing period.

By us. We may suspend or terminate your account immediately and without notice if:

Effect of termination. On termination for any reason: your licence to use the platform ends immediately; we will retain your data for 30 days to allow export upon request; after 30 days we will delete your data except where required by law. Termination does not affect any accrued rights or liabilities.

Survival. Sections 6 (Your Data), 7 (Intellectual Property), 11 (Liability), 12 (Termination), and 13 (Governing Law) survive termination of these Terms.

13. Governing Law

These Terms are governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for the resolution of any disputes arising under or in connection with these Terms.

If any provision of these Terms is found to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of that right or provision.

14. Changes to These Terms

We may update these Terms from time to time to reflect changes in our services, business practices, or legal requirements. When we make material changes, we will notify you by email at least 14 days before the changes take effect and update the "Last updated" date at the top of this page.

Your continued use of any Acreonix product after the effective date of updated Terms constitutes your acceptance of those changes. If you do not accept the updated Terms, you must stop using the relevant service and cancel your subscription before the effective date.
